Appointment of Supervisory Board members


The Management Board of LC Corp S.A. (the “Issuer”) reports that during the Annual General Meeting of the Issuer of 27 April 2017, the shareholders of the Issuer forming Group 1 and Group 2 appointed, pursuant to Article 385(3) and (5) of the Code of Commercial Companies and Partnerships, the members of the Supervisory Board of the Issuer, i.e. Mr Michał Hulbój and Mr Paweł Małyska effective from 27 April 2017. Also, due to the expiration of the mandates of the Supervisory Board, the Annual General Meeting of the Issuer of 27 April 2017 appointed, pursuant to Article 385(6) of the Code of Commercial Companies and Partnerships, other members of the Supervisory Board of the Issuer, i.e. Mr Leszek Czarnecki, as Chairman of the Supervisory Board, Mr Remigiusz Baliński, as Vice-Chairman of the Supervisory Board, Mr Grzegorz Korczyński and Ms. Joanna Gransort.

 

Information on the appointed Members of the Supervisory Board:

 

Leszek Czarnecki - Chairman of the Supervisory Board

Mr Leszek Czarnecki is a graduate of the Wrocław University of Technology and holds a PhD in Economics of the University of Economics in Wrocław. He is also a graduate of the Harvard Business School (AMP). He began his business activity in 1986, by establishing Przedsiębiorstwo Techniki Alpinistyczno-Nurkowej TAN S.A. He was also the founder and main shareholder of Europejski Fundusz Leasingowy S.A. operating since 1991. - the first and largest leasing company in Poland. In 1998, Leszek Czarnecki, PhD won the prize of one of the 10 best managers in Central Europe “The best CEO in Central Europe” awarded by “The Wall Street Journal”. Also in 1998, he was the prize-winner of the world final competition "Young Business Achiever" in Beijing.

In April 2004, “The Financial Times” recognised Leszek Czarnecki as one of 25 emerging stars of European business, who will set the direction for the development of financial markets in the near future. Leszek Czarnecki is the only Pole to be entered on the prestigious “FT” list. In November 2004, Leszek Czarnecki was one of four individuals awarded by INSEAD - one of the best business universities in Europe, and the Minister of Finance of France with the title of “The Entrepreneur of the Year from Eastern Europe”. In September 2005, Leszek Czarnecki received the prestigious Lesław A. Paga award for his achievements and personal contribution to the development of the financial services market in Poland. He was selected the Player of the Year in the ranking of the Polish edition of the Forbes magazine in 2005, 2006, and 2007.

In 2009, he was awarded by Puls Biznesu newspaper with the prize of “The Best Entrepreneur of the Past Twenty Years” in the competition organised by the newspaper, and also received an honorary award in the competition “Entrepreneur of the Year” awarded to him by Ernst & Young. In 2010 Polish Confederation Lewiatan gave Leszek Czarnecki the Andrzej Wierzbicki award for his success in business and active contribution to the business environment. In the plebiscite organised in 2011 by the Employers of Poland organisation and Puls Biznesu Leszek Czarnecki received another award for the “Entrepreneur of the Year 2010”. In the same year he was also awarded the “Business Leader of the Year” distinction by the Warsaw Business Journal. In 2013, he was awarded with the prestigious Special Award of the Warsaw Stock Exchange for passion and consistency in creating new economic projects and visionary pursuit of business on the public market. In 2014 Leszek Czarnecki was named the Man of the capital market by the editorial office of Gazeta Giełdy on the occasion of the 25th anniversary of political changes.

Remigiusz Baliński – Vice-Chairman of the Supervisory Board

 

Remigiusz Baliński is a graduate of the Wrocław Medical University and of the Higher School of Business in Nowy Sącz and the National Louis University in Chicago (MBA). Since 1996, he is the President of the Management Board of RB Investcom Sp. z o.o. in Wrocław.

  • In the years 1993-1994 he was a Member of the Supervisory Board of Gliwicki Bank Handlowy.
  • In the years 1993-1996 he also served as an advisor to the President of the Management Board of Europejski Fundusz Leasingowy S.A., and in 2001 he became the Vice-Chairman of the Supervisory Board of the company.
  • In the years 1997-2001 he was the President of the Management Board of Efi Sp. z o.o. (a company of the EFL S.A. Capital Group).
  • In the years 2001-2002 he served as an advisor and an independent proxy of Efi Sp. z o.o.

 

Mr Remigiusz Baliński, thanks to the long-term cooperation with the capital market institutions, has extensive knowledge and experience in terms of their functioning, approach to customers, and increasing market share. He is also an expert on corporate financial issues, legal regulations, and the system and customs of the capital market in Poland. He has experience in managing teams of specialized staff, their training and motivation.

  • the President of the Management Board of RB Consulting Sp. z o.o. in Wrocław,
  • the President of the Management Board of Money Profi sp. z o.o. in Wrocław,

Michał Hulbój – Member of the Supervisory Board

Mr Michał Hulbój is a graduate of the SGH Warsaw School of Economics in the field of Finance and Banking. He holds a stockbroker’s licence and he obtained a positive result in two exams within the CFA programme. He gained professional experience as a participant of managerial staff training in Bank Millennium, and subsequently as equity analysts in Millennium Dom Maklerski, PTE PZU and AIG PTE.

Between 2008 and 2010 he worked as shares portfolio manager in PTE PZU. At the end of 2010 he became Director of the Equity Products Management Team in Skarbiec TFI. In 2012 Mr Hulbój worked in Erste Securities Polska as Director of the Analyses Department.

In February 2013 he took the position of Director of the Assets Management Office in Forum TFI S.A. and from October 2013 he was also a member of the management board of Forum TFI S.A. Since December 2014 he has been the President of Cresco Sp. z o.o. In June 2015 he has been elected to the Supervisory Board of Trakcja PRKiL S.A. where he is also a member of the Appointment and Remuneration Committee.

According to the declaration submitted to the Issuer, Mr Michał Hulbój does not conduct an activity competitive to the activity of the Issuer, is not involved in a competitive company as a partner in a civil law partnership, partnership or as a member of the body in a limited  company or other competitive legal entity as a member of its body and is not entered in the Register of Insolvent Debtors and informed about meeting the criteria of independence of a member of supervisory boards referred to in Annex II to the Commission Recommendation of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board and additional requirements indicated in the Best Practices of WSE Listed Companies being an annex to Resolution No. 27/1414/2015 of the Exchange Supervisory Board of 13 October 2015.

Paweł Małyska Member of the Supervisory Board

Mr Paweł Małyska is a graduate of the Warsaw School of Economics. In 2003, he obtained a PhD of Economic Sciences at the Collegium of Management and Finance of this university.

In the period from 2012 to April 2017 he was employed in TFI Allianz Polska as Fund Manager, Deputy Director of the Asset Management Department and Director of the Equity Portfolios Management Department.

In the years 2010 – 2011 he was a Manager in the Asset Management Department in Opera Kwiatkowski i Wspólnicy and in Opera TFI. At that time Mr Paweł Małyska was also Adviser of the Management Board and Project Coordinator in Opera Dom Maklerski.

From 2008 to 2009 - Investment Director and Member of the Management Board responsible for the creation and management of investment funds on regulated markets in Copernicus Capital TFI. In 2009 - Member of the Management Board responsible for Asset Management service in Copernicus Securities.

From 2005 to 2008 he was employed in Opera TFI and subsequently in Opera Kwiatkowscy i Wspólnicy as Analyses Director. In the period 2007- 2008 - President of the Management Board and subsequently member of the Supervisory Board of Opera Development. Mr Paweł Małyska also held the function of member of the Supervisory Board of Polcourt.

In the years 2004 - 2005 he worked as an analyst in PKO BP Brokerage House, PTE Skarbiec - Emerytura and Skarbiec Investment Management. In the years 1999 - 2003 he was employed in the BGŻ Brokerage Office as Securities Analyst assistant and Securities Analyst.

According to the declaration submitted to the Issuer, Mr Paweł Małyska does not conduct an activity competitive to the activity of the Issuer, is not involved in a competitive company as a partner in a civil law partnership, partnership or as a member of the body in a limited  company or other competitive legal entity as a member of its body and is not entered in the Register of Insolvent Debtors and informed about meeting the criteria of independence of a member of supervisory boards referred to in Annex II to the Commission Recommendation of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board and additional requirements indicated in the Best Practices of WSE Listed Companies being an annex to Resolution No. 27/1414/2015 of the Exchange Supervisory Board of 13 October 2015.

 

Grzegorz Jacek Korczyński – Member of the Supervisory Board

 

Grzegorz Korczyński is a graduate of the University of Wrocław.

In 1992 he completed Law studies at the Faculty of Law and Administration and obtained a master’s degree in law.

In 1997 he obtained the title of legal counsel and was entered on the list of legal counsels.

In 2001 he graduated from Master of Business Administration studies organised by Ernst & Young.

Between 1992 and 2010 he completed a number of courses and trainings, among others in Effective Project Management, Balanced Scorecard – Management based on the Strategic Scorecard conducted by Francuski Instytut Gospodarki, Effective Public Communication organised by Ernst & Young, and marketing strategy, human resources management, business negotiations techniques, effectiveness improvement, as well as in sales and presentation techniques.

 

Between 1992 and 2010 he was employed at Europejski Fundusz Leasingowy S.A. as Management Board Advisor and Cooperation Department Director

Between 2010 and 2013 he was a Partner at I. Korczyńska i Wspólnicy Law Firm

Between 2014 and 2014 he worked as Management Board Advisor at Idea Leasing S.A., and from 2014 at Europejski Dom Brokerski Sp. z o.o. as President of the Management Board

 

Currently performed functions:

Joanna Gransort– Member of the Supervisory Board

 

Ms. Joanna Gransort is a graduate of the Faculty of Law at the University of Wrocław, Wrocław University of Economy, and WSB University in Wrocław.  

Since 2015 she has been the President of the Management Board of docFlow S.A. and since 2016 - member of the Supervisory Board of LC Corp S.A.

  • Between 2006 and 2015 she was the Director of the Operations Support Department at ULTIMO S.A.
  • Between 2005 and 2006 she was the Director of the Debt Collection Department at Getin Leasing S.A.
  • Between 2004 and 2005 she served as Management Board’s Proxy for Centralised Debt Collection at Getin Noble Bank S.A., and also as Director of the Public Relations and Promotion Department at Towarzystwo Ubezpieczeniowe EUROPA S.A.
  • Between 2003 and 2004 she worked as Investment Director at Getin Holding S.A., and at that time she also served as Chairperson of the Supervisory Board of Polska Agencja Finansowa and as Member of the Supervisory Board at Open Finance
  • Between 2002 and 2003 she served as Member of the Management Board at EFL Service S.A.
  • Between 1998 and 2002 she was Deputy Director of the Debt Collection Department, and subsequently Director of the Investor Relations Department at Europejski Fundusz Leasingowy S.A.
  • Between 1997 and 1998 she was employed at Dolnośląskie Towarzystwo Leasingowe S.A. as lawyer - consultant.
